INTRODUCTION
All the Publishers who join AdMaster program must subscribe this contract that includes terms and conditions of the partnership. The non-acceptance of these conditions could involve the decommissioning of Admaster account and the credit loss.
01) DEFINITION OF PARTS AND HANDLING OF PERSONAL INFORMATION
The online contract is stipulated between the user who asks for registration, here called "Publisher","Partner", or "Webmaster", and Heyos LLC. based in 3540 W SAHARA #135 LAS VEGAS (NV) 89102, United States here called, "Heyos.com" or "AdMaster".
The Publisher declares as thruthful and he is responsible for all personal informations inserted in Heyos AdMaster registration form. The Publisher knows that, completing the registration, he shows his consent about the handling of his personal data and he accepts all terms and conditions of Heyos AdMaster network included in this page. He declare of be of age and aware of responsabilities coming from the accession to the contract and of possible consequences in breach case; He also declares of consider as thruthful all data processed by Heyos' server/computers, even if they are out of base.
02) DEFINITION OF ADMASTER PROGRAM
Thanks to the registration to AdMaster program, the Publisher will start a partership that is aimed at show advertising spot, provided by Heyos, on registered websites. these spot will be shown in Publisher's website pages trough a javascript code (or of other languages) thath the Publisher will integrate in his website/s, with an appropriate position. Heyos will remunerate the Partner according to click done on advertisements.
Heyos will pay only the click that anti-froud controls will consider valid.
03) REFUSAL RIGHT AND PARTENSHIP CONDITIONS
Heyos has the right of refuse a requests of adhesion, without be obliged to communicate the reason of elimination. Will be refused all the requests done by webmaster with website under construction, or website showing: violent images, racist or paedophile contents, pornographic contents, warez, any copyrighted file and other contents that could damage Heyos' image. These regolations must be considered as a real contract and it can be revoke anytime from both parts.
To registrer a website you must be of age.
If an underage uses our services, the responsability of his actions will be of his parents or of who acts in his stand.
Partnership is free and each part can end anytime.
Heyos is not responsible anyway for all of present on websites that join the network.
This contract can be modify only by Heyos; if the changes will modify the commissions counting or some foudamental regolations, we'll inform the Publisher at once via email or with a notice in his personal control panel.
The parts commit themselves to put on a friendly approach anytime we'll rise some disputes about partnership.
If they respect our canons of quality, design and contents, we will accept domains of 2th and 3th level, like www.mysite.com o mysite.hosting.com. Won't be accepted domains like http://hosting/mysite.
04) CONDITIONS OF PARTNERSHIP FOR ADULT WEBSITES
Adult websites are NOT accepted in any form.
05) PUBLISHER'S OBLIGATIONS AND RESPONSABILITIES
The clicks on advertisements shown in publisher's website shall be the result of a real interest, without any kind of incitement. It's forbidden the insertion of advertisements on layer and popup/popunder.
It's forbidden modify artificially the number of windows opening, or of clicks and impressions.
It's forbidden incite users to click on advertisements. We will not accept ambiguous phrases near the spots that could confuse users. Misleading images (arrows, lines,...) near the advertisements that could capture users attention focalizing them on banners, are not allowed too.
It's forbidden autoclick ourself banners.
we'll save each click, detailed by city, state and ip address; if we found a lot of click done by the same ip address in the same user's city, we could end the partnership.
Publisher's website will have to insert in the pages of website the code taken from his personal control panel, without modify it (except the colors of some kind of contextual adv); on contrary, we'll expel the partner without pay his credit.
It's forbidden use the code inside autosurf websites, visit-exchange or banner-exchange, newsletters or other emails.
It's forbidden spam, sending Heyos images, Heyos codes, or images of Publisher's website showing our logo or our services: in this case infact we'll launch a legal action against the Publisher at once and he'll be eliminated from the network losing all his credits.
It's required to insert the code within 10 days from the approval of website, or the registration won't be considered valid anymore.
Will be removed accounts inactive or with invalid email address, and their commission will be paid ONLY if they reached the minimum amount of payment (USD 50).
The Publisher is completely responsible for his login data, website development and management.
It's forbidden to use programs that recharge automatically the pages, like iframes. It's forbidden adding or hosting illegal content like warez, porno files, videos, mp3 files, films, streaming illegal content and other illegal activities; in case of illegal or forbidden contents the account will be deleted loosing all credits and account rights.
06) TYPES OF ADVERTISEMENTS
Textual or graphic spots like banners or windows, dipend on sold advertising, and they can be different according to the cathegory of your website and its contents.
7) LIMITATION OF RESPONSABILITIES
Heyos will be applied to keep active the service according our knowledge and possibilities. Heyos is not responsible for any alteration of stats, lose of information caused by hackers or other unpredictable events.
In case of closing, cessation of service or contract revocation, the Publisher will be paid ONLY if he reached the amount of €20 since for a lower import, the costs of payments will be higher.
No compensation will be given in case of lose of information or slowing down.
The service is offered without any kind of guarantee.
Heyos is not responsible for the contents (information, images, text, videos, photos. ...) of websites joining the network; the Publisher has to ask for the block of advertisements that don't seem to be suitable to his website.
8) DEFINITION OF CLICK/IMPRESSION
The counting of commission is for single ip address within 24h and for advertiser.
With more detail, for each user will counted click or windows opening only the first time,and one time for every merchant. If Heyos will have 100 different merchants, each user at each browser session will open a window with a different merchant anytime (and this will be accredited). With banners, will be counted as valid only a click for every advertised merchant.
9) INSERTING AND POSITIONING
The Publisher , can insert in each website page a number of max 4 (four) group of banner, (no depending from dimension) and one window service between Popunder, PopExit, Slide.
In very large pages,like one page blogs,it will possible to insert a max of 6 (six) group of banners.
It's not allowed to insert banner in hidden locations,at the bottom page or inside other group of banner.
A good positioning of advertisements will allow a revenue increase.
Each advertisements must be positioned in the main page and not in hidden iframe or windows like popup-popunder or layer. It's prohibit the modify of link target.
In case of low CT(caused by site umproductiveness or by a term violation), with a click/impression percent less then 0,08%, Heyos will ale to block without notice, the remuneration of impressions, leaving the click revenues active, at undefined time.
10) PAYMENTS AND TAX INFORMATIONS
The minumum amount for a payment is 50 USD/EUR that will be charged adding the earnings of all services.
Payments will be scheduled starting from days 1-10 of the month next to the one to pay; some days will be also required for the transit of the wire transfer; the Publisher will be contacted by Heyos via e-mail, without any request.
In case the publisher's e-mail will not be active, the publisher it's the only responsible to upload any documentation required because heyos wll not advise him another time.
From the control panel the publisher will be able to upload the invoice or request the payment.
For European residents, the invoice must be without TAX or IVA. Publishers with no company or VAT number have their own the responsability to pay tax regarding law in their residence country. If you are resident in United States you must contact Heyos and request informations on how to request your payment.
Extra costs:
there are no extra costs to receive a payment, unless your Bank take some money or fees to receive the transfer.
The costs for the payments are all on Heyos charge.
11) CONCLUSIONS
The Publisher must respect these terms and conditions in all parts, and with subscription he accept these regulations. Heyos has the right to take any measure against the Publisher in case of violations, or image damages, of Heyos's website www.heyos.com, or merchants, other publishers, or any third party involved.
